# GwV-FINMA Art. 66 — Collective investment scheme or investment company as contracting party - **Rubric (DE):** Kollektive Anlageform oder Beteiligungsgesellschaft als Vertragspartei - **Rubric (EN):** Collective investment scheme or investment company as contracting party - **Scope:** Art. 1b BankG persons; FIs under GwG Art. 2(2)(abis)/(dquater) (Title 5; see [[Scope note — GwV-FINMA Title 5 vs VSB 20]]) - **Status:** In force ## Description Where the contracting party is a collective investment scheme or an investment company (*Beteiligungsgesellschaft*) with 20 or fewer investors, the financial intermediary must obtain a declaration on the beneficial owners (Abs. 1). With more than 20 investors, the declaration is required only if the scheme or company is not subject to adequate supervision and regulation on combating money laundering and terrorist financing (Abs. 2). The declaration may be waived if (Abs. 3): (a) the scheme or company is listed on a stock exchange; or (b) a financial intermediary within the meaning of Art. 65 Abs. 1 acts as promoter or sponsor and demonstrates that it applies adequate rules on combating money laundering and terrorist financing. ## VSB 20 counterpart - [[VSB 20 Art. 38 - Collective investment schemes|VSB 20 Art. 38]] — parallel rule for banks: Abs. 1–2 correspond to VSB Art. 38 Abs. 1–2, and Abs. 3 Bst. a and b in substance to VSB Art. 38 Abs. 4 and 5 (Abs. 5 refers to a financial intermediary within the meaning of VSB Art. 33), although Art. 66 Abs. 3 is phrased as a waiver (*kann verzichtet werden*) while VSB Abs. 4 is mandatory. VSB Art. 38 Abs. 3, which treats schemes and companies domiciled in FATF high-risk and non-cooperative states as not adequately supervised, has no counterpart here. ## Further AMLR connections - [[AMLR Art. 61 - BO of collective investment undertakings|AMLR Art. 61]] — Governs when an intermediary must obtain a declaration on the beneficial owners of a collective investment scheme or investment company, not who counts as one: required with 20 or fewer investors (Abs. 1), with more only if not adequately supervised (Abs. 2); may be waived for listed schemes or where a supervised promoter or sponsor attests AML rules (Abs. 3). No 25%-of-units test. ## Sources - GwV-FINMA SR 955.033.0, Art. 66
